The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 21, 2023.

Number of shares:  five million common shares units, each unit consisting of one common share and one-half share purchase warrant

Purchase price:  40 cents per unit

Warrants:  2.5 million whole warrants to purchase 2.5 million shares

Warrant exercise price:  60 cents, exercisable a period of two years from the date of issuance

Number of placees:  22 placees

Finder's fee:  $97,195 cash and 242,988 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one share at the price of 60 cents for period of two years from the date of issuance.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
