The TSX Venture Exchange has accepted for filing documentation with respect to non-arm's-length transactions between Mako Mining Corp. and Sailfish Royalty Corp.

Mako acquired all the membership interests of Mt. Hamilton LLC, which owns the Mt. Hamilton property, pursuant to an amended and restated purchase and sale agreement dated Feb. 14, 2026, among Sailfish, Mako and Mako U.S. Corp. Pursuant to the terms of the agreement, Mako, through Mako U.S., acquired the company interests from Sailfish at a deemed price of $40-million (U.S.), satisfied by the issuance to Sailfish of the gold stream described below.

As consideration for the disposition of the company interests by Sailfish to Mako U.S., Sailfish acquired a 132-month gold streaming right from Mako on Mako's properties or other sources of refined gold, pursuant to an amended and restated gold purchase agreement dated Feb. 14, 2026, between Sailfish and Mako.
