The TSX Venture Exchange has accepted for filing a share purchase and exchange agreement dated Jan. 17, 2026, among Miivo Holdings Corp., Tandem Partners Co. (the target), Alexander Damouni, Rabih Brair and Peter Damouni.

Pursuant to the terms of the agreement, the company has agreed to acquire all of the issued and outstanding shares of the target from the target shareholders, in exchange for an aggregate purchase price of $1.25-million, consisting of: (a) a cash payment of $416,666.67; and (b) the issuance of a total of 1,388,886 common shares of the issuer at a deemed price of 60 cents per consideration share.

The exchange has been advised that the agreement received approval of the disinterested shareholders of the company.
