MAPLE LEAF GREEN WORLD INC. ANNOUNCES RECORD DATE AND MEETING DATE FOR ANNUAL GENERAL MEETING OF SHAREHOLDERS

Maple Leaf Green World Inc. has released the details of its upcoming annual general meeting of shareholders, including the record date, the meeting date, certain additional matters to be considered at the meeting and the company's use of notice-and-access for delivery of meeting materials.

Meeting date and record date

The company has fixed Oct. 9, 2026, as the record date for determining the shareholders entitled to receive notice of, and to vote at, the meeting. The meeting will be held on Friday, Nov. 24, 2026, which satisfies the company's undertaking to the Alberta Securities Commission (ASC), as described in the company's news release dated Aug. 26, 2026, to hold its annual general meeting on or before Nov. 24, 2026, following the revocation of the failure-to-file cease trade order previously issued against the company.

Additional matters to be considered at the meeting

In addition to the usual business of an annual general meeting (receipt of the company's audited financial statements, the election of directors and the appointment of the company's auditor), shareholders will be asked at the meeting to consider, and if deemed advisable, to approve, by ordinary resolution (a simple majority, being not less than 50 per cent plus one of the votes cast by shareholders present in person or by proxy at the meeting), the following additional matters:

  • Stock option plan shareholders will be asked to ratify and approve the company's 10-per-cent rolling stock option plan;
  • Bylaws shareholders will be asked to confirm the company's amended and restated bylaws, made by the company's board of directors in 2022 in accordance with the Business Corporations Act (Alberta), which have not previously been confirmed by shareholders;
  • Other business such other business as may properly be brought before the meeting, including any additional matters the company may determine to put before shareholders in connection with its business and operations.

Full particulars of the foregoing matters and the resolutions to be proposed at the meeting in respect thereof will be set out in the company's management information circular for the meeting.

Use of notice-and-access

The company will deliver its proxy-related materials for the meeting using the notice-and-access provisions under National Instrument 51-102, Continuous Disclosure Obligations, and National Instrument 54-101, Communication with Beneficial Owners of Securities of a Reporting Issuer. Notice-and-access allows the company to post its management information circular, form of proxy and other meeting materials online rather than mailing paper copies to all shareholders, reducing the cost and environmental impact of the meeting.

The company's management information circular, form of proxy and related meeting materials will be available on or before Oct. 23, 2026, under the company's issuer profile on SEDAR+ and on the company's website.

Commencing on or about Oct. 23, 2026 (being 30 days prior to the meeting date), the company will mail a notice package to all registered shareholders and beneficial shareholders as of the record date. The notice package will explain how to access the meeting materials on-line and how to request paper copies, and will include a form of proxy or voting instruction form, as applicable.

Registered shareholders and non-objecting beneficial owners (NOBOs) of the company will receive the notice package directly from the company. The company has elected to pay for intermediaries to deliver meeting materials to objecting beneficial owners (OBOs) in accordance with the procedures set out in NI 54-101. Meeting materials are not being distributed to beneficial shareholders located in the United States in connection with the meeting.

Shareholders who wish to receive paper copies of the meeting materials may request them, free of charge, by contacting the company's transfer agent, Endeavor Trust Corp., proxy services, at 604-559-8880, or the company. Shareholders are encouraged to make such requests promptly to allow sufficient time for delivery prior to the proxy voting deadline of 5 p.m. Calgary time on Nov. 20, 2026.
