Mr. Raymond Lai reports
MAPLE LEAF GREEN WORLD INC. ANNOUNCES REVOCATION OF CEASE TRADE ORDER
The Alberta Securities Commission (ASC), as principal regulator, has issued an order dated Aug. 26, 2026, revoking the failure-to-file cease trade order (FFCTO) issued against Maple Leaf Green World Inc. on May 6, 2025.
Revocation of the cease trade order
The revocation order (regarding Maple Leaf Green World, 2026 ABASC 111) was issued by the ASC as
principal regulator following the company's application under National Policy 11-207, Failure-to-File
Cease Trade Orders and Revocations in Multiple Jurisdictions. The FFCTO had been issued
by the executive director of the ASC on May 6, 2025, as a result of the company's failure to file required
continuous disclosure documents.
The revocation order is based on the company's representations: that it is a reporting issuer under the
Securities Act (Alberta); that it has filed with the executive director all continuous disclosure that it is
required to file under Alberta securities laws, except any continuous disclosure that the executive director
elected not to require as contemplated in sections 25 and 26 of NP 11-207, and has paid all activity,
participation and late filing fees that it is required to pay to the ASC; and that it has an up-to-date filer
profile on SEDAR+ and issuer profile supplement on SEDI.
Reinstatement of trading on the Canadian Securities Exchange
The company is proceeding immediately with an application to the CSE for the reinstatement of trading in its common shares. Trading in the company's common shares
will remain halted until the CSE has completed its review and approved the reinstatement. Reinstatement
of trading is subject to the satisfaction of all applicable CSE requirements and the discretion of the CSE,
and there can be no assurance as to when, or whether, trading in the company's common shares will resume.
Continuous disclosure remediation
The revocation follows the completion of the company's continuous disclosure remediation undertaken in
connection with the continuous disclosure review conducted by staff of the ASC. In the course of that
remediation, the company filed on SEDAR+, among other documents:
- Amended and restated interim financial statements for the three months ended March 31, 2026,
incorporating a comprehensive subsequent events note in accordance with IAS 10 events after the
reporting period;
- Amended and restated management's discussion and analysis for the three months ended
March 31, 2026, including the education and experience of each audit committee member;
- Form 52-110F2 audit committee information (amended), reflecting the reconstituted audit
committee;
- Amended chief executive officer and chief financial officer certifications on Form 52-109F2R in respect of the refiled interim
filings;
- A news release and material change report with respect to the board and management changes
and the reconstitution of the audit committee, and
Maple Leaf Green World announces the revocation of the cease trade order;
-
The AGM undertaking provided to the ASC, filed publicly in accordance with Section 28 of NP
11-207.
Q2 (second quarter) 2026 interim filings
The company confirms that its unaudited condensed consolidated interim financial statements and related
management's discussion and analysis for the three and six months ended June 30, 2026, together with
the certifications required under National Instrument 52-109, Certification of Disclosure in Issuers' Annual
and Interim Filings, will be filed on SEDAR+ on or before the prescribed filing deadline of Aug. 29,
2026.
Annual general meeting
Consistent with the undertaking previously provided to the ASC and filed on SEDAR+, the company will
convene and hold an annual general meeting (AGM) of shareholders within 90 days following the
revocation of the FFCTO, being on or before Nov. 24, 2026. At the AGM, shareholders will be asked
to elect the directors of the company, including Pat Gramlich, who was appointed by the board on
Aug. 24, 2026, to hold office until the close of the next AGM. Particulars of the AGM, including the
record date, meeting date and meeting materials, will be announced in due course.
Management wishes to thank the company's shareholders for their patience during the continuous
disclosure review and acknowledges the assistance of staff of the ASC throughout the remediation process.
