Warrants:  two million share purchase warrants to purchase two million shares

Warrant purchase price:  five cents in one-year period; 10 cents in the second year

Number of placees:  one placee

Total pro group involvement:  two million (one pro group)

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on June 13, 2023, announcing the closing of the private placement.
