METALS CREEK RESOURCES CORP. ANNOUNCES NON-BROKERED FINANCING

Subject to approval by the TSX Venture Exchange, Metals Creek Resources Corp. intends to complete a non-brokered private placement financing for proceeds of up to $200,000. The financing is expected to close on or before May 29, 2025.

The company intends to issue up to 10 million common share units at a price of two cents per unit, with each unit consisting of one common share of the company and one common share purchase warrant, each warrant entitling the holder to purchase one additional common share of the company at an exercise price of five cents per common share for a period of 36 months from the date of issue. Proceeds from the financing will be used for general working capital purposes.

In connection with the financing, the company may pay finders' fees in cash or securities or a combination of both, as permitted by exchange policies. All securities issued pursuant to the Financing will be subject to a four-month hold period.
