Number of shares:  14,571,428 common shares

Purchase price:  seven cents per share

Warrants:  14,571,428 share purchase warrants to purchase 14,571,428 shares

Warrant exercise price:  12 cents per share until Dec. 31, 2026

Number of placees:  six placees

Total existing insider involvement:  nine million (three insiders)

The company issued a news release on Nov. 14, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
