The TSX Venture Exchange has accepted for filing documentation with respect to two arm's-length subscription agreements between McChip Resources Inc. and an arm's-length party, Labrador Gold Corp. Pursuant to the terms of the agreements, the company, through participation in a private placement of flow-through and non-flow-through share offering conducted by Labrador Gold, acquired an aggregate of 28,601,154 common shares of Labrador Gold, representing approximately 9.995 per cent of Labrador Gold's issued and outstanding common shares (together with joint actor Matachewan Consolidated Mines Ltd., 19.99 per cent of Labrador Gold's issued and outstanding common shares).

As consideration for the acquisition, the company paid an aggregate cash consideration of $1,430,057.70 to Labrador Gold.

Further, the investors have also entered into an investor rights agreement with Labrador Gold, pursuant to which the investors received certain board nomination rights, pre-emptive and top-up participation rights, among others.
