EARLY WARNING REPORT FILED BY MATACHEWAN CONSOLIDATED MINES, LIMITED

Matachewan Consolidated Mines Ltd. has triggered certain reporting thresholds in McChip Resources Inc. that require the filing of an early warning report under National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues.

On Aug. 4, 2026, Matachewan acquired 450,700 common shares of the issuer through the facilities of the TSX Venture Exchange at a price of 79.98 cents per common share for aggregate consideration of $360,469.86.

Prior to the acquisition, Matachewan held 510,700 common shares, representing approximately 8.57 per cent of the issued and outstanding common shares of the issuer. Following the acquisition, Matachewan holds 961,400 common shares, representing approximately 16.13 per cent of the issued and outstanding common shares of the issuer. In the future, Matachewan may, depending on market and other conditions, increase or decrease Matachewan's beneficial ownership of securities of the issuer.
