MCF ENERGY INCREASES FINANCING TO $1.2 MILLION

MCF Energy Ltd. has increased its previously announced non-brokered financing from $500,000 to $1.2-million. The offering will consist of 24 million units at a price of five cents per unit. Each unit will consist of one common share and one full common share purchase warrant with each warrant entitling the holder to acquire an additional common share at an exercise price of six cents for a period of 24 months from the date of issuance. Further details regarding the offering were included in the company's Aug. 22, 2025, press release.

Completion of the offering remains subject to the approval of the TSX Venture Exchange. All securities issued in connection with the offering will be subject to a four-month-and-one-day statutory hold period.

The company intends to use the net proceeds from the offering for working capital and general corporate purposes.
