MARVEL ANNOUNCES CLOSING OF NON-BROKERED PRIVATE PLACEMENT

Marvel Discovery Corp. has closed a non-brokered private placement for $70,000 by issuing 4,666,667 units at 1.5 cents per unit previously announced on Feb. 19, 2025.

Each unit consists of one common share and one share purchase warrant. Each warrant will entitle the holder thereof to purchase one common share at a price of five cents per warrant share for a period of three years from the issuance date.

The gross proceeds from the offering will be used for working capital purposes.

The offering is subject to final acceptance of the TSX Venture Exchange.

The company also announces that effective Feb. 23, 2026, it has been transferred to the NEX under the symbol MARV.H.
