The TSX Venture Exchange has accepted for filing documentation pertaining to an arm's-length share purchase agreement between the company and an arm's-length party, Calibre Mining Corp., a wholly owned indirect subsidiary of Equinox Gold Corp. Pursuant to the agreement, the company acquired all of the issued and outstanding common shares of the vendor's wholly owned indirect subsidiary, Calibre USA Holdings Ltd. The target indirectly holds a 100-per-cent interest in the Pan gold mine, Gold Rock project and Illipah project, located in Nevada.

Under the terms of the agreement, the company paid the approximate total purchase price of $115-million (U.S.) as follows to the vendor: (i) aggregate of $88,372,424 (U.S.) in cash, subject to postclosing working capital adjustment; and (ii) issuance of 96,802,816 common shares of the company at a deemed price of 35.5 Canadian cents per share.
