The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 12, 2023.

Number of shares:  2.69 million units

Purchase price:  five cents per unit

Warrants:  2.69 million share purchase warrants to purchase 2.69 million shares

Warrant exercise price:  10 cents for a two-year period

Warrant acceleration provision:  The company has the option to accelerate the expiration date if the common shares trade at a price greater than 15 cents for a period of 20 trading days, subject to a minimum notice period of 30 days.

Number of placees:  eight placees

Total existing insider involvement:  890,000 (four insiders)

Finder's fee:  $2,800 cash and 56,000 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of five cents for a period of one year from the date of issuance.

The company issued news releases on Sept. 1, 2023, and Oct. 30, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
