The TSX Venture Exchange Inc. has accepted for filing documentation from Themac Resources Group Ltd. in connection with a court-approved plan of arrangement under the Business Corporations Act (Yukon).

Pursuant to the arrangement, Tulla Resources Group Pty. Ltd. acquired all of the issued and outstanding common shares of the company not already held by it for eight cents for each common share.

The exchange has been advised that approval of the arrangement was received at a special meeting of shareholders held on Oct. 7, 2025, and that the Supreme Court of Yukon provided its final order approving the arrangement on Oct. 9, 2025. The exchange has been advised that the arrangement closed on Oct. 22, 2025. Further to the completion of the arrangement, effective at the close of business on Thursday, Oct. 23, 2025, the common shares of the company will be delisted from the TSX Venture Exchange at the request of the company.
