The TSX Venture Exchange has accepted for filing documentation with respect to the non-arm's-length acquisition of the La Grande property, pursuant to a property option agreement. Pursuant to the terms of the agreement, in order to complete the acquisition of the property, the company issued such number of shares to the vendor equal to 19.9 per cent of the company's outstanding shares after completing a minimum $2-million financing, being 15,125,477 shares. The company will also issue an additional eight million shares to the vendor upon reaching certain mineral resource milestones as set out in the agreement. The company will not issue any shares to the vendor to the extent that, after giving effect to such issuance, the vendor will hold in excess of 19.99 per cent of the issued and outstanding shares of the company, provided that, once the issuance of shares to the vendor would not be in excess of 19.99 per cent, the company will issue such shares to the vendor as soon as reasonably practicable. The property consists of 300 exploration rights covering 15,357 hectares in the James Bay region of Quebec.
