Purchase price:  five cents per share

Number of placees:  six placees

Total existing insider involvement:  1.4 million (two insiders)

Total pro group involvement:  250,000 (one pro group)

Finder's fee:  $1,500

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on Oct. 23, 2023, announcing the closing of the private placement.
