Level 14 Ventures Ltd. has completed a plan of arrangement to spin out its wholly owned subsidiaries, Green Mountain Resources Ltd. and Kobe Resources Ltd. Pursuant to the transaction, the owners of common shares of the issuer at the effective time of the transaction will receive: (i) one new common share of the issuer for each common share of the issuer held at such time; (ii) one common share of Green Mountain for every 10 common shares of the issuer held at such time; and (iii) one common share of Kobe for every 10 common shares of the issuer held at such time.

The new shares (Cusip No. 52730L 20 0) will replace the old shares. Following the completion of the transaction, the new shares will be identical in every relevant respect to the old shares.

Level 14 Ventures new shares will commence trading at the market open on July 5, 2023.
