The TSX Venture Exchange has accepted for filing documentation with respect to the non-arm's-length acquisition of acquisition of 1097195 B.C. Ltd. and Ironman Directional Drilling U.S. Inc. for consideration of 85,392,538 common shares, $6-million cash, payable in equal instalments commencing 12 months from the closing date and continuing every 12 months thereafter over a period of 60 months, and a working capital adjustment of approximately $14-million cash, payable in equal instalments commencing 12 months from the closing date and continuing every 12 months thereafter over a period of 60 months.
