The TSX Venture Exchange has accepted for filing an asset purchase agreement dated Jan. 12, 2016, between the company and Colt Builders Inc. (John Hunter and Blair Nutting). Pursuant to the terms of the agreement, the company will acquire the book business and certain assets of the vendor. By way of consideration, the vendor will receive 40 per cent of the shares of a subsidiary of the company, Mill Frame Inc. Upon Mill Frame generating $10-million in net sales, the company will exchange five million shares (at a deemed price of 14 cents per share) in return for 20 per cent of Mill Frame being returned to the company by the vendor. An additional five million shares will be issued to the vendor in exchange for the remaining 20-per-cent interest in Mill Frame upon Mill Frame generating an additional $10-million in net sales.
