The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 8, 2023.

Number of shares:  two million common shares

Purchase price:  six cents per share

Warrants:  two million share purchase warrants to purchase two million shares

Warrant exercise price:  10 cents for a period of three years from the date of issuance

Number of placees:  10 placees

Total existing insider involvement:  400,000 (one insider)

Pro group:  300,000 (one pro group)

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
