("Canada Rare Earth" or the "Company") (TSX.V: LL) further to its December 14, 2021 news release, and subject to approval from the TSX Venture Exchange (the "Exchange"), is increasing the debt to be settled through the issuance of shares by $56,888.69 to a total amount of $141,388.69. Subject to the receipt of all regulatory approval, the Company will issue a total of 1,956,998 shares at an average of $0.072 per share as follows: 1,025,000 shares at a deemed price of $0.078 per share; 60,000 shares at a deemed price of $.075 per share; 84,781 shares at a deemed price of $0.07 per share; 769,231 shares at a deemed price of $0.065 per share; and 17,345 shares at a deemed price of $0.055 per share. $134,500 of the $141,388.69 of debt, or 184,872 of the 1,956,998 shares, being setteled is for officers and directors of the Company.
