RIGHT SEASON ANNOUNCES INVESTMENT IN GROUNDED PEOPLE APPAREL INC.

Right Season Investments Corp. has made strategic capital investment in Grounded People Apparel Inc., an eco-conscious fashion label.

On April 17, 2024, Right Season acquired 312,500 units of Grounded priced at 80 cents per Grounded unit through a private placement, totalling an investment of $250,000. Each Grounded unit comprises one common share of Grounded and one common share purchase warrant of Grounded. Each Grounded warrant entitles the company to purchase an additional common share of Grounded at a price of $1.00 per Grounded warrant share for a period of five years from their date of issue.

Prior to completion of the Grounded placement, the company held 4,811,508 common shares in the capital of Grounded and 4,811,508 share purchase warrants representing approximately 20 per cent of the issued and outstanding shares (or 9,623,016 shares representing approximately 28 per cent of the issued and outstanding shares on a partially diluted basis assuming exercise of all warrants held by the company).

Following completion of the Grounded placement, the company holds 5,124,008 shares and 5,124,008 share purchase warrants representing approximately 20.30 per cent of the issued and outstanding shares (or 10,248,016 shares representing approximately 28.88 per cent of the issued and outstanding shares on a partially diluted basis assuming exercise of all warrants held by the company).

The company has acquired the Grounded units for investment purposes. The company intends to evaluate these holdings and increase or decrease its investment in Grounded as circumstances warrant.
