(TSXV: LITT) ("Right Season" or the "Company") announces that it intends to complete a consolidation of its issued and outstanding common shares on the basis of one (1) new common share (a "Post-Consolidation Share") for every 70 currently-outstanding common shares or such lesser ratio as the board of directors of the Company may determine appropriate at its sole discretion (the "Consolidation"). The Company will seek to obtain approval from the Company's shareholders (the "Shareholders") for the Consolidation at its Annual General and Special Meeting to be held on October 20, 2023. The Company is undertaking the Consolidation to reduce the number of shares outstanding in order to increase the share price, which will allow the Company to attract additional investors who have minimum share price thresholds for equity investments. The Company currently has 158,406,932 Shares issued and outstanding, and immediately following the Consolidation will have approximately 2,262,956 Shares outstanding. The Company does not intend to change its name or its current trading symbol in connection with the proposed Consolidation. The effective date and further details of the Consolidation, subject to approval of the Shareholders and TSXV acceptance, will be announced in a subsequent news release. No fractional shares will be issued under the Consolidation. Letters of transmittal with respect to the Consolidation will be mailed to all Shareholders prior to the issuance of the TSXV's bulletin accepting the Consolidation.
