Global Li-Ion Graphite Corp. ("Global Li-Ion" or the "Company") (LION) is pleased to announce a non-brokered private placement of up to 11,800,000 units (the "Units") of the Company at a price of $0.025 per unit (the "Offering"). Each Unit will consist of one (1) common share of the Company (a "Share") and one (1) transferable common share purchase warrant (a "Warrant"). Each Warrant will be exercisable into one (1) Share for two years from issuance (the "Exercise Period") at a price of $0.10 per Share in the first year of the Exercise Period and at a price of $0.20 per Share in the second year of the Exercise Period. Global Li-Ion intends to use the net proceeds of the Offering for business development and general working capital. The closing of the Offering is subject to certain conditions including, but not limited to, receipt of all necessary regulatory approvals. The Company may pay finder's fees in connection with the Offering.
