Lithium Energi Exploration Inc. has arranged a non-brokered private placement to Arena Investors LP for
aggregate gross proceeds of $3-million (U.S.) ($4,112,405.76 (Canadian)). The offering will consist of 82,248,115 units at a price of five cents per unit. Each unit will consist of one common share and one full
common share purchase warrant, with each warrant entitling the holder to acquire an
additional common share at an exercise price of 5.5 cents for a period of 60 months from the date of
issuance.
The completion of the offering remains subject to the negotiation and execution of definitive documentation,
the approval of the TSX Venture Exchange and certain financing conditions set forth in the subscription
agreement to be entered into between the company and Arena. All securities issued in connection with
the offering will be subject to a four-month-and-one-day statutory hold period.
The net proceeds of the offering are expected to be used for working capital and general corporate
purposes.
The offering is considered a related party transaction within the meaning of TSX-V Policy
5.9 and Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions. The company is relying upon the exemption from the formal valuation and minority
shareholder approval requirements of MI 61-101, pursuant to sections 5.5(b) and 5.7(1)(e). The company
did not file a material change report more than 21 days before the expected closing of the offering
because the details of the participation therein by related parties of the company were not settled until
shortly prior to closing the offering and the parties wished to close on an expedited basis for business
reasons.
