The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 11, 2023.

Number of shares:  21,739,130 shares

Purchase price:  11.5 cents per share

Warrants:  21,739,130 share purchase warrants to purchase 21,739,130 shares

Warrant exercise price:  22.5 cents for a four-year period

Number of placees:  10 placees

Total existing insider involvement:  12,052,173 (two insiders)

Finder's fee:  $20,930 cash and 7,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 22.5 cents for period of two years from the date of issuance.

The company issued a news release on Aug. 23, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
