LEEF BRANDS ANNOUNCES UPSIZE OF OFFERING AND FILING OF AMENDED OFFERING DOCUMENT

Leef Brands Inc. has filed an amended offering document related to its previously announced private placement offering of units of the company, which now covers 8,363,560 units at a price of 25 cents per unit, for gross proceeds of up to $2,090,890, a further increase over the previously announced size of the offering.

The offering is being conducted pursuant to the listed issuer financing exemption (LIFE) under Part 5A of National Instrument 45-106, Prospectus Exemptions. Securities issued under the LIFE will not be subject to a statutory hold period in accordance with applicable Canadian securities laws. The offering is expected to close on or about Aug. 15, 2025, or on such other date or dates as the company may determine. Closing of the offering is subject to customary closing conditions, including approval of the Canadian Securities Exchange.
