The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 17, 2023.

Number of shares:  9.13 million units

Purchase price:  five cents per unit

Warrant:  9.13 million share purchase warrants to purchase 9.13 million shares

Warrant purchase price:  7.5 cents for three years from the date of issuance, subject to accelerated expiry

Number of placees:  16 placees

Total existing insider involvement:  850,000 (two insiders)

Finder's fee:  $20,190 cash and 403,800 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 7.5 cents for a period of 36 months from the date of issuance.
