Lithium Americas to trade on TSX

The Toronto Stock Exchange reports that Lithium Americas Corp. (Old Lithium Americas) expects to complete a plan of arrangement on Oct. 3, 2023, to effect a separation of Old Lithium Americas into Lithium Americas (Argentina) Corp. (Lithium Argentina) and a new Lithium Americas Corp. (New Lithium Americas). Pursuant to the arrangement, Old Lithium Americas shareholders will receive, in respect of each Old Lithium Americas common share held, one common share of Lithium Argentina and one common share of New Lithium Americas. To receive the Lithium Argentina and New Lithium Americas shares, Old Lithium Americas shareholders must return the letter of transmittal together with certificates of direct registration system advices representing the Old Lithium Americas shares to Computershare Investor Services Inc. at its principal offices in Toronto.

According to the TSX, upon completion of the arrangement, New Lithium Americas will be a Canadian-based lithium resource company owning Old Lithium Americas' existing assets in North America, including the 100-per-cent-owned Thacker Pass project, investments in Green Technology Metals Ltd. and Ascend Elements Inc., and exploration properties in the United States and Canada. New Lithium Americas will be listed and posted for trading on the TSX at the open on Oct. 4, 2023. There will be 160,047,671 common shares of New Lithium Americas issued and outstanding, and 55,632,253 shares reserved for issuance. New Lithium Americas will trade under the symbol LAC and with Cusip No. 53681J 10 3.

The TSX notes that the New York Stock Exchange has posted a when-issued market for the New Lithium Americas shares as at the opening on Oct. 2, 2023 (symbol LAC.WI), and will commence regular-way trading of the New Lithium Americas shares at the opening on Oct. 4, 2023 (symbol LAC). New Lithium Americas has not declared or paid any dividends since its incorporation, and does not anticipate paying dividends for the foreseeable future. Its transfer agent and registrar is Computershare Investor Services Inc. at its principal offices in Vancouver, and its fiscal year-end is Dec. 31. The designated market-maker is National Bank Financial Inc.
