(TSXV: KO) (the "Company") announces that MNP LLP, Chartered Professional Accountants (the "Former Auditor") resigned as the Company's auditor, effective May 25, 2023. There are no reportable events (as defined in National Instrument 51-102 Continuous Disclosure Obligations ("NI 51-102")) between the Company and its Former Auditor. The Company has not yet appointed a successor auditor, but the matter is currently under review by the Company's board of directors and discussions have been ongoing with potential successor auditors to fill the vacancy as required under NI 51-102. The Company would like to further announce the resignation of Jatinder Dhaliwal as CEO and Director, Usama Chaudhry as CFO and Director, Mohsen Rahimi as director. The remaining director, David Jenkins will be assuming the role of Interim CEO and Interim CFO. Kiaro Holdings Corp.
