KIARO ANNOUNCES RESIGNATIONS

MNP LLP, Chartered Professional Accountants, has resigned as Kiaro Holdings Corp.'s auditor, effective May 25, 2023.

There are no reportable events (as defined in National Instrument 51-102 -- Continuous Disclosure Obligations (NI 51-102)) between the company and its former auditor.

The company has not yet appointed a successor auditor, but the matter is currently under review by the company's board of directors, and discussions have been continuing with potential successor auditors to fill the vacancy as required under NI 51-102.

The company would like to further announce the resignation of Jatinder Dhaliwal as chief executive officer and director, Usama Chaudhry as chief financial officer and director, and Mohsen Rahimi as director. The remaining director, David Jenkins, will be assuming the role of interim CEO and interim CFO.
