VAULT STRATEGIC MINING ANNOUNCES INTENTION TO EXTEND WARRANT EXPIRY DATE

Vault Strategic Mining Corp. intends to extend the expiry date of a total of two million share purchase warrants, exercisable at 20 cents and 50 cents per common share, by six months from the current expiry date of Feb. 14, 2026, to Aug. 14, 2026. The warrants were issued in connection with a non-brokered private placement of units with each unit composed of one common share and one common share purchase warrant, which closed on Feb. 14, 2023, and all of the warrants are currently subject to an acceleration clause. All other terms and conditions of the warrants will remain unchanged. The warrant extension is subject to acceptance by the TSX Venture Exchange.

Certain of the warrants are held by insiders who are considered to be related parties of the company. Therefore, the amendment of the related-party warrants constitutes a related-party transaction as contemplated by Multilateral Instrument 61-101 (Protection of Minority Shareholders in Special Transactions) and TSX Venture Exchange Policy 5.9 (Protection of Minority Shareholders in Special Transactions). However, the exemptions from formal valuation and minority approval requirements provided for by these guidelines can be relied upon because neither the fair market value of the related-party warrants, nor the fair market value of the consideration paid for the related-party warrants exceeds 25 per cent of the market capitalization of the company.

Holders of warrants will not receive an amended warrant certificate and will be required to submit their original warrant certificate to exercise the warrants.
