KIBOKO ANNOUNCES EFFECTIVE DATE OF SHARE CONSOLIDATION

Effective Jan. 23, 2026, the issued and outstanding common shares of Kiboko Gold Inc. will consolidate on the basis of one postconsolidation common share for every 10 preconsolidation common shares.

The consolidation was approved by the TSX Venture Exchange and the company's common shares will commence trading on a postconsolidation basis at the opening of markets on Jan. 23, 2026. The TSX Venture Exchange will issue its bulletin on Jan. 21, 2026, advising of the effective date of Jan. 23, 2026. Following the consolidation, the new Cusip for the common shares will be 493734206, and the new ISIN for the common shares will be CA4937342067.

As part of the consolidation, the 44,137,093 issued and outstanding common shares will be consolidated to 4,413,709 postconsolidation common shares. No fractional common shares will be issued under the consolidation. Any fractional share resulting from the consolidation will be rounded to the nearest whole share, with fractions of 0.5 or greater rounded up and fractions of less than 0.5 rounded down.

Shareholders who hold their common shares through a broker or other intermediary, or in book entry form, are not required to take any action. Their positions will be adjusted automatically to reflect the consolidation. Outstanding securities convertible or exercisable into common shares will also be adjusted by the consolidation ratio, and the exercise price of such securities will be adjusted accordingly.
