The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on July 31, 2023.

Number of units:  40.6 million units

Purchase price:  five Australian cents (4.5 Canadian cents) per unit

Warrants:  20.3 million share purchase warrants to purchase 20.3 million shares

Warrant exercise price:  7.5 Australian cents (6.5 Canadian cents) for a two-year period

Number of placees:  44 placees

Total existing insider involvement:  10.4 million (one insider)

Agent's fee/finder's fee:  $106,200 and 7.5 million warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one unit at the price of 7.5 Australian cents (6.5 Canadian cents) per unit for a period of two years from the date of issuance.

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on Aug. 8, 2023, announcing the closing of the private placement.
