Plan of arrangement
Pursuant to special resolutions passed by the shareholders on Dec. 3, 2025, J2 Metals Inc. completed a plan of arrangement under Section 288 of the Business Corporation Act (British Columbia). The arrangement was completed on April 20, 2026, and has resulted in a spinoff of its wholly owned subsidiary, Twenty Mile Metals Inc. (Spinco), which holds the Twenty Mile project located in British Columbia.
Under the terms of the arrangement, the holders of J2's common shares on the share distribution record date, being April 27, 2026, are entitled to receive one new J2 share and 0.21921 of a common share of Spinco for each J2 share held. The payment date for the Spinco shares is expected to be April 30, 2026. Approximately 71,024 Spinco shares will be reserved by J2 for issuance to warrantholders of J2 on the effective date.

Capitalization: unlimited shares with no par value, of which 22,485,174 common shares are issued and outstanding
Escrow: 2,490,320 common shares
Transfer agent: Computershare Investor Services Inc.
Trading symbol: JTWO (unchanged)
Cusip No.: 480931 10 4 (new)
Effective at the open on Monday, April 27, 2026, J2 will commence trading under the new Cusip number. The name of the company has not been changed.

Declaration of dividend -- correction
Further to the TSX Venture Exchange bulletin dated April 21, 2026, the bulletin should have read as follows.
Dividend per share: 0.21921 of a common share of Twenty Mile Metals for each common share of J2 Metals
There are no other changes to the information disclosed in the bulletin.
