JOLT HEALTH INC. ANNOUNCES DEBT SETTLEMENT AND PRIVATE PLACEMENT

Jolt Health Inc. and arm's-length third parties and related parties have reached debt settlement agreements, whereby the company will issue four million common shares at a price of 10 cents per share for a total of $400,000, subject to a four-month restricted hold and subject to exchange approval.

Related parties transactions account for 1.9 million of the shares to be issued will be to two directors and officers, making this a related party transaction. The company is relying upon exemptions contained in sections 5.5(a) and 5.7 (a) of MI 61-101 as the fair market value of the shares being issued to insiders is less than 25 per cent of the market capitalization of the company.

The company also announces that it is undertaking a non-brokered private placement of up to 6.3 million units at five cents per unit, for a total of $315,000. Each unit consists of one common share and one common share purchase warrant entitling the holder to subscribe for one additional common share for two years at a price of 10 cents. Proceeds will be used for general corporate purposes.
