JACKPOT ENTERS INTO A SHARES FOR DEBT AGREEMENT

Jackpot Digital Inc. has entered into a debt settlement agreement with a creditor whereby the company's creditor has agreed to accept common shares in the capital of the company as full and final settlement of its debt and accrued interest owing to the company's creditor. Pursuant to the debt settlement agreement, the company shall issue to the company's creditor 1,333,425 common shares in the capital of the company at the price of 7.5 cents per share. All securities that may be issued in connection with the debt settlement agreement shall include a hold period in accordance with applicable securities laws.

The above transaction is subject to the approval of the TSX Venture Exchange.
