The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 6, 2023.

Number of shares:  10.12 million shares

Purchase price:  five cents per share

Warrants:  10.12 million share purchase warrants to purchase 10.12 million shares

Warrant exercise price:  five cents for a six-month period

Number of shares:  16.05 million flow-through shares

Purchase price:  six cents per share

Warrants:  8,025,000 share purchase warrants to purchase 8,025,000 shares

Warrant exercise price:  10 cents for an 18-month period

Number of placees:  24 placees

Finder's fee:  $41,760 cash, 650,800 shares and 650,800 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 10 cents or a period of one year from the date of issuance.

The company issued news releases on Dec. 4, 2023, and Dec. 6, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
