Purchase price:  20 cents per share

Number of placees:  17 placees

Total existing insider involvement:  15 million (one insider)

Total pro group involvement:  525,000 (one pro group)

Finder's fee:  $279,500 cash and 1,947,500 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for a period of one year from the date of issuance.

The company issued news releases on May 10, 2023, and May 30, 2023, confirming the closing of the private placement.
