Mr. Geordie Mark reports
BLUE JAY GOLD ANNOUNCES NOMINATION OF ASHLEY KATES TO THE BOARD OF DIRECTORS FOR UPCOMING AGM
Blue Jay Gold Corp. has nominated Ashley Kates to the company's board of directors. The nomination is being made in connection with the company's upcoming annual general meeting, which is scheduled for Oct. 15, 2026, and will be detailed in the company's management information circular, expected to be filed on SEDAR+ in early September.
"We're pleased to welcome Ashley's nomination to the board," said Geordie Mark, chief executive officer of Blue Jay Gold. "Ashley has held several senior roles across the mining industry over her career. That kind of breadth, seeing a business from the finance, capital markets and governance sides, is exactly the kind of experience that helps a company grow with confidence. Ashley raises the bar for our board and we couldn't be happier to have her join us. In the interim, Ashley will hold the role of special adviser to the board."
Ms. Kates is a finance executive with more than 15 years of progressive leadership experience in the mining industry. She has deep expertise in public company financial reporting, capital markets, treasury management, regulatory compliance and corporate governance. Ms. Kates currently serves as chief financial officer of Oceanic Iron Ore Corp. Over the course of her career, she has helped guide mining companies through significant operational growth, from early-stage exploration through to commercial production, including Atlantic Gold Corp. and its acquisition by St. Barbara Ltd. in 2019 for approximately $800-million. She is a chartered professional accountant who began her career in public accounting at Ernst & Young and holds a bachelor of commerce degree from the Sauder School of Business at the University of British Columbia.
Subject to the TSX Venture Exchange acceptance and the company's omnibus equity compensation plan, on Aug. 21, 2026, the company granted an aggregate of 1.7 million stock options to certain directors, officers and consultants at an exercise price of 78 cents valid for five years from the date of grant. The options will vest in four equal instalments of 25 per cent available on the six-month, 12-month, 18-month and 24-month anniversaries of the grant.
Eighty thousand deferred share units (DSUs) were also granted to Ms. Kates in connection with her upcoming appointment as a director and are subject to TSX-V acceptance and the terms of the company's omnibus equity compensation plan.
