The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 18, 2024, and March 28, 2024.

Number of shares:  6.1 million common shares

Purchase price:  five cents per common share

Warrants:  3.05 million common share purchase warrants to purchase 3.05 million common shares

Warrant exercise price:  seven cents per common share for a period of 24 months

Number of placees:  19 placees

Total existing insider involvement:  1.36 million common shares (four insiders)

Total pro group involvement:  520,000 common shares (two pro groups)

Finder's fee:  $2,200 cash and 110,000 finder's warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of seven cents for a period of 24 months.

The company issued a news release on April 4, 2024, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
