The TSX Venture has accepted for filing documentation with respect to a non-brokered private placement announced May 5, 2023.

Number of shares:  3,157,895 flow-through common shares

Purchase price:  9.5 cents per flow-through common share

Warrants:  1,578,947 share purchase warrants to purchase 1,578,947 common shares

Warrant exercise price:  15 cents for a period of three years

Number of placees:  one placee

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term. The company issued a news release on May 5, 2023, confirming the closing of the private placement.
