INTERCONNECT CLOSES NON-BROKERED PRIVATE PLACEMENT

Interconnect Ventures Corp. has completed its non-brokered private placement previously announced on March 6, 2025, pursuant to which the company issued 9,711,901 units of the company at a price of one cent per unit for aggregate gross proceeds of $97,119. Each unit comprises one common share in the capital of the company and one transferable common share purchase warrant. Each warrant will entitle the holder thereof to acquire one additional share at a price of five cents per warrant share until April 16, 2026.

Proceeds of the private placement will be used for general working capital purposes. No proceeds of the private placement are proposed to be paid to any non-arm's-length parties or for investor relations activities. No finder's fees were paid in connection with the private placement.

Certain directors of the company subscribed for a total of 1,635,000 units in the private placement. Participation by the insiders constitutes a related party transaction within the meaning of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The issuance to the insiders is exempt from the valuation requirement of MI 61-101 by virtue of the exemption contained in Section 5.5(b) as the company's shares are not listed on a specified market and from the minority shareholder approval requirements of MI 61-101 by virtue of the exemption contained in Section 5.7(a) of MI 61-101 in that the fair market value of the consideration of the securities issued to the insiders did not exceed 25 per cent of the company's market capitalization.

All securities issued pursuant to the private placement will be subject to a statutory hold period expiring on Aug. 17, 2025.
