(TSX-V: ITG) July 3, 2026 (the "Company") announces that its business combination agreement (the "Agreement") with 1281617 BC LTD. ("HeliumCo") has been terminated. The termination became effective on July 22, 2026. Termination of the Business Combination Agreement The Company and HeliumCo mutually agreed to terminate the Agreement, effective July 22, 2026. The proposed transaction contemplated under the Agreement will not proceed. The Company will continue to evaluate strategic opportunities in due course.
