--->g 25,000 common shares for each of the two months of July 2014 and August 2014, as consideration for services performe
--->d by Charles Yuen in his role as Chief Financial Officer of IEMR from July 1, 2014 to August 31, 2014 pursuant to the 
--->terms of a shares for service agreement.  The Shares were issued at a deemed price of $0.05 per share and will be subj
--->ect to a four month hold period pursuant to the policies of the Exchange.
