The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 6, 2023, and increased Dec. 8, 2023.

Number of shares:  20,588,235 shares

Purchase price:  17 cents per share

Warrants:  10,294,117 share purchase warrants to purchase 10,294,117 shares

Warrant exercise price:  22 cents for a two-year period

Number of placees:  66 placees

Finder's fee:  $58,020.66 cash and 341,298 warrants

Finder's warrant terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 22 cents for period of two years from the date of issuance.

The company issued a news release on Dec. 22, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
