IMAGINEAR ANNOUNCES COMPLETION OF $350,000 NON-BROKERED PRIVATE PLACEMENT

Further to the news releases of Nov. 7, 2025, and Nov. 14, 2025, ImagineAR Inc. has completed its non-brokered private placement of units. The offering, which was composed of one tranche that closed on Nov. 14, 2025, consisted of the sale of 11,667,112 units at a price of three cents per unit for gross aggregate proceeds of $350,013.37.

Each unit was composed of one common share in the capital of the company and one non-transferable common share purchase warrant, with each warrant entitling the holder to purchase one additional common share at a price of five cents for a period of 36 months from the closing of the offering. In accordance with applicable Canadian securities laws, all securities issued and issuable pursuant to the private placement will be legended with a hold period of four months and one day from the date of issuance. The offering is subject to the receipt of all necessary regulatory approvals, including the approval of the Canadian Securities Exchange.

ImagineAR intends to use the net proceeds from the proposed private placement for general working capital and operations, legal and sales/marketing of products.
