IMAGINEAR ANNOUNCES PRIVATE PLACEMENT FINANCING CLOSING

ImagineAR Inc. has closed its previously announced (see press release dated Oct. 17, 2023) non-brokered private placement financing. The company issued 36,700,000 Units (the "Units), at a price of $.021 per Unit for gross proceeds of $770,700.00.

Each Unit is comprised of one (1) common share and one (1) non-transferable common share purchase warrant (the "Warrant"), with each Warrant entitling the holder to purchase one additional common share at a price of $0.05 for a period of thirty-six (36) months from the closing of the Offering. In accordance with applicable Canadian securities laws, all securities issued pursuant to the private placement will be legended with a hold period of four months and one day from the date of issuance.

ImagineAR intends to use the net proceeds from the private placement for operations and sales marketing of products.

A total of $6,216 finder's fees will be paid, and 296,000 broker's warrants will be issued in connection with the private placement.
