IMAGINEAR ANNOUNCES PRIVATE PLACEMENT FINANCING

ImagineAR Inc. has arranged a non-brokered private placement financing of up to 28,571,428 units, at a price of 2.1 cents per unit for gross proceeds of up to $600,000.

Each unit will comprise one common share and one non-transferable common share purchase warrant, with each warrant entitling the holder to purchase one additional common share at a price of five cents for a period of 36 months from the closing of the offering. In accordance with applicable Canadian securities laws, all securities issued pursuant to the private placement will be legended with a hold period of four months and one day from the date of issuance.

ImagineAR intends to use the net proceeds from the proposed private placement for operations and sales marketing of products.

Finders' fees will be paid pursuant to this financing.
